1. Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our platform. By using the services, you represent and warrant that you meet these requirements. Medical providers must hold all applicable professional licenses required in their jurisdiction.

2. Platform Description

MedFund Circle provides two interconnected services:

• Lead Marketplace: Patients post care requests describing the medical service they need, their budget, location, and funding type. Approved medical providers may unlock a care request — using subscription access or purchased credits — to view the patient's contact information and reach out directly. The platform charges providers for access to leads; it does not facilitate or process payment between patients and providers for medical services.
• Medical Crowdfunding: Patients may create fundraising campaigns to raise funds from the public for medical expenses. Donations are collected by the platform and disbursed to campaign creators upon reaching their goal, net of a 5% platform fee.

MedFund Circle is a technology facilitator only. We do not provide medical services, medical advice, diagnoses, treatment recommendations, or insurance of any kind.

3. Patient Terms

3.1 Care Request Accuracy

You represent that all information in your care request is accurate, truthful, and not misleading. Misrepresentation of your medical needs, location, or funding status is a violation of these Terms and may result in account suspension.

3.2 Contact Consent

By submitting a care request, you consent to be contacted by providers who have unlocked your request via the contact methods you provided (email, phone, or text). You may close your request at any time to stop new providers from unlocking it.

3.3 Crowdfunding Campaigns

Campaign funds are intended solely for the medical expenses described in your campaign. Misuse of donated funds is a violation of these Terms and may result in account termination, fund recovery, and referral to law enforcement. You are responsible for any tax obligations arising from funds received.

3.4 Bank Verification (Gold Badge)

Connecting a bank account for the optional Gold Badge verification is voluntary. You consent to Stripe Financial Connections retrieving your account balance for the sole purpose of generating a privacy-preserving balance summary displayed on your care request. No transfers are initiated.

4. Provider Terms

4.1 Account Requirements

Provider accounts are subject to admin approval. You represent that you hold all professional licenses, certifications, and insurance required by law to practice in your jurisdiction and specialty. You agree to keep your profile information accurate and up to date.

4.2 Subscriptions

Paid subscription plans grant unlimited lead unlock access for the duration of the billing period. Subscriptions are billed monthly via Stripe. You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not offer prorated refunds for partial months.

4.3 Credit Packages

Credit packages are one-time purchases granting a fixed number of unlock credits. Each credit unlocks one care request and reveals the patient's contact information. Credits are non-refundable except where a care request is removed by the platform as invalid or fraudulent, in which case a credit refund may be issued at our sole discretion. Credits do not expire.

4.4 Lead Unlock Limits

Each care request may be unlocked by a maximum of 5 providers. Once the limit is reached, the request is marked as fully contacted and no further unlocks are possible. This limit is enforced to ensure quality for both patients and providers.

4.5 Provider Conduct

After unlocking a lead, you agree to contact patients in a professional manner consistent with applicable laws, including the Telephone Consumer Protection Act (TCPA). You may not use patient contact information for any purpose other than responding to their specific care request.

4.6 Stripe Connect (Crowdfunding)

Campaign creators who wish to receive crowdfunding payouts must complete Stripe Express onboarding to link a bank account. Payouts are subject to Stripe's terms and any applicable holds. MedFund Circle retains a 5% platform fee on all crowdfunding disbursements.

5. Fees and Payments

• Subscription Fees: Billed monthly via Stripe at the rate displayed at purchase. Prices are subject to change with 30 days' notice.
• Credit Package Fees: One-time charges processed via Stripe at the prices displayed at checkout.
• Crowdfunding Platform Fee: 5% of the total amount raised, deducted before disbursement to the campaign creator.
• Donation Processing: Donors are charged the amount they pledge. MedFund Circle does not charge donors an additional fee beyond the platform fee deducted from campaign proceeds.
• Refunds: Subscription and credit purchases are non-refundable except as required by applicable law or as described in Section 4.3. Donations are non-refundable except in cases of verified campaign fraud at our sole discretion.

6. SMS and Email Communications

By providing your phone number, you consent to receive SMS notifications from MedFund Circle related to your account and platform activity. You may opt out at any time by replying STOP to any SMS. Standard message and data rates may apply. By providing your email address, you consent to transactional emails related to your account. You may unsubscribe from non-essential emails at any time.

7. Prohibited Uses

You may not use the platform to:

• Post false, misleading, or fraudulent care requests or campaign information.
• Harvest or scrape patient or provider contact information for purposes other than responding to a specific unlocked request.
• Circumvent the credit/subscription system by sharing unlocked contact information with other providers.
• Impersonate a licensed medical professional or misrepresent your credentials.
• Use the platform in violation of any applicable federal, state, or local laws.
• Engage in any activity that disrupts, overloads, or impairs the platform's infrastructure.

8. Medical Disclaimer

MedFund Circle is not a healthcare provider and does not provide medical advice, diagnoses, or treatment recommendations. Nothing on this platform constitutes professional medical advice. Always seek the guidance of a qualified, licensed healthcare provider for any medical condition or concern. We do not endorse any specific provider, treatment, or procedure listed on the platform.

9. Intellectual Property

All platform content, branding, software, and design elements are the property of MedFund Circle LLC. You retain ownership of the content you submit (care requests, campaign stories, messages) but grant us a non-exclusive, royalty-free license to display and use that content to operate the platform.

10. Disclaimers

The platform is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or that any particular care request will result in a provider match or that any crowdfunding campaign will reach its goal.

11. Limitation of Liability

To the maximum extent permitted by applicable law, MedFund Circle LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, medical outcomes, data loss, or unauthorized access to your data. Our total liability for any claim arising out of or relating to these Terms shall not exceed the greater of $100 or the total amount you paid to us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless MedFund Circle LLC and its affiliates from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the platform, your violation of these Terms, or your violation of any third-party rights.

13. Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, engaged in fraudulent activity, or if required by law. Upon termination, your right to access the platform immediately ceases. Accrued obligations (e.g., outstanding subscription fees) survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any disputes arising out of these Terms or use of the platform shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or a notice on the platform. Continued use after changes take effect constitutes your acceptance of the revised Terms.
